1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BillOps ("we," "our," or "us") governing your access to and use of the BillOps platform, website, and related services (collectively, the "Service").

By accessing or using the Service, clicking "I Agree," creating an account, or connecting a third-party account (Google, Microsoft, QuickBooks), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Description of Service

BillOps is a cloud-based time-tracking and billing automation platform that enables service-based businesses to:

• Record billable hours using live timers or manual entry
• Associate time entries with clients, jobs, and service types
• Automatically generate and push invoices to QuickBooks Online
• Connect with Google and Microsoft accounts for calendar-based time association
• Generate billing reports and exportable timesheets

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use BillOps. By using the Service, you represent and warrant that you meet these requirements. BillOps is intended for business use only — not for personal, family, or household purposes.

If you are using BillOps on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

To access the full Service, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Keep your account credentials confidential and not share them with others
• Notify us immediately at info@cloudbaselabs.com of any unauthorized use of your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in abusive behavior.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to commit fraud, misrepresent billable hours, or generate false invoices
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service or servers connected to it
• Use automated means (bots, scrapers) to access the Service without prior written consent
• Upload or transmit viruses, malware, or other harmful code
• Violate any applicable local, national, or international law or regulation
• Infringe the intellectual property rights of BillOps or any third party

Violation of this section may result in immediate account suspension without refund.

6. Third-Party Integrations

BillOps integrates with third-party services including QuickBooks Online (Intuit), Google, and Microsoft. Your use of these integrations is subject to the respective terms and privacy policies of those providers:

We are not responsible for the availability, accuracy, or conduct of any third-party service. Changes made by third-party providers to their APIs or terms may affect BillOps functionality.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, design, text, graphics, logos, and trademarks — are owned by BillOps or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our explicit written consent.

8. Your Data

You retain full ownership of all data you input into BillOps, including time entries, client records, and billing data ("Your Data"). By using the Service, you grant BillOps a limited license to store, process, and transmit Your Data solely as necessary to provide the Service to you.

We do not claim any ownership over Your Data. Our handling of Your Data is governed by our Privacy Policy.

9. Fees and Billing

Certain features of BillOps may require a paid subscription. Where fees apply:

• All fees are stated in USD and are exclusive of applicable taxes unless stated otherwise
• Subscription fees are billed in advance on a monthly or annual basis, as selected
• All sales are final — we do not offer refunds for partial billing periods except where required by law
• We reserve the right to change pricing with at least 30 days' advance notice to active subscribers
• Failure to pay may result in suspension or termination of your account

10. Termination

By You

You may terminate your account at any time by contacting us at info@cloudbaselabs.com or using the account deletion feature within the Service.

By Us

We may suspend or terminate your account immediately and without prior notice if you breach these Terms, we are required to do so by law, or we determine that your use poses a risk to other users or the Service.

Effect of Termination

Upon termination, we will delete or anonymize your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimer of warranties, limitation of liability, and indemnification.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BILLOPS AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

In no event shall our total aggregate liability to you exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) USD $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless BillOps, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you submit through the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BillOps is registered, without regard to conflict-of-law principles. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by displaying a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
