These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BillOps ("we," "our," or "us") governing your access to and use of the BillOps platform, website, and related services (collectively, the "Service").

By accessing or using the Service, clicking "I Agree," creating an account, or connecting a third-party account (Google, Microsoft, QuickBooks), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

All content, features, and functionality of the Service — including but not limited to software, design, text, graphics, logos, and trademarks — are owned by BillOps or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes only. You may not copy, modify, distribute, sell, or create derivative works based on the Service without our explicit written consent.

8. Your Data

You retain full ownership of all data you input into BillOps, including time entries, client records, and billing data ("Your Data"). By using the Service, you grant BillOps a limited license to store, process, and transmit Your Data solely as necessary to provide the Service to you.

We do not claim any ownership over Your Data. Our handling of Your Data is governed by our Privacy Policy.

By You

You may terminate your account at any time by contacting us at info@cloudbaselabs.com or using the account deletion feature within the Service.

We may suspend or terminate your account immediately and without prior notice if you breach these Terms, we are required to do so by law, or we determine that your use poses a risk to other users or the Service.

Effect of Termination

Upon termination, we will delete or anonymize your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimer of warranties, limitation of liability, and indemnification.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DATA WILL NOT BE LOST.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BILLOPS AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

In no event shall our total aggregate liability to you exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) USD $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless BillOps, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you submit through the Service.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BillOps is registered, without regard to conflict-of-law principles. Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or by displaying a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
